Terms of Service

1. Introduction and Acceptance

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and Vane Loop Research Inc., a Delaware C-Corporation ("Vane Loop," "Company," "we," "us," or "our"), governing access to and use of the Vane Loop platform at vaneloop.com and all related services, tools, APIs, and documentation (collectively, the "Service").

The Service is a business-to-business (B2B) software-as-a-service product designed exclusively for use by businesses, professionals, and organizations in a professional capacity. All subscription tiers, including the Freemium tier, are offered for professional and commercial use only. The Service is not a consumer product and is not intended for personal, family, or household use. By accessing the Service, you represent that you are acting in a business or professional capacity.

By creating an account, you acknowledge that you have read, understood, and agree to these Terms, our Privacy Policy, Cookie Policy, and Acceptable Use Policy. If you are entering into these Terms on behalf of a legal entity, you represent that you have authority to bind such entity.

2. Description of Service

Vane Loop provides an AI-powered strategic management platform for data and AI portfolio management, including agentic readiness assessments, financial taxonomy integration, portfolio maturity analysis, and roadmap visualization.

AI Disclosure: The Service uses artificial intelligence systems to generate analytical outputs. In compliance with EU AI Act (Regulation (EU) 2024/1689) Article 50, you are informed that AI-powered features involve interaction with an AI system, not a human. AI outputs are generated algorithmically and are provided for informational and decision-support purposes only. They do not constitute professional advice of any kind.

3. B2B Nature of the Service

The Service is offered exclusively on a business-to-business basis. All tiers—including Freemium—require the Customer to be a business entity, sole proprietor, or professional acting in a commercial capacity. Consumer protection laws applicable to business-to-consumer (B2C) transactions do not apply. By using the Service, you confirm that: (a) you are a business, professional, or organization; (b) you are using the Service for professional purposes; and (c) you are not a "consumer" as defined under Directive 2011/83/EU (EU Consumer Rights Directive), the Austrian Konsumentenschutzgesetz (KSchG), or equivalent consumer protection legislation in your jurisdiction.

4. Eligibility and Account Registration

You must be at least 18 years of age and authorized to bind your organization. By registering, you agree to provide accurate, current information and to update it as necessary. You are responsible for safeguarding credentials and for all activity under your account. Notify support@vaneloop.com immediately of any unauthorized use.

5. Subscription Tiers and Service Plans

The Service is available under the following tiers. Current pricing is published at vaneloop.com/pricing. The Company reserves the right to modify features, limits, and pricing with thirty (30) days' prior notice.

5.1 Freemium Tier

Limited access at no charge. Maximum five (5) AI queries per month, subject to per-query token limits. Single user. Your personal data is protected and never shared. Anonymized, bucketed aggregate statistics are contributed to the Vane Loop Benchmark Index. Contributed data includes only: industry category (broad), company size range (bucketed), geographic region (country-level), and portfolio maturity score bands. No textual content, exact numerical values, granular parameters, or personally identifiable information is ever contributed or shared.

5.2 Starter Tier

Up to fifty (50) AI queries per month, subject to per-query token limits. Single user, single company. No collaboration features. As a core part of the Starter tier value proposition, you contribute to and benefit from the Vane Loop Benchmark Index. Benchmark participation is integral to this tier and reflected in its pricing (GDPR legal basis: contract performance, Art. 6(1)(b)). Contributed data consists exclusively of bucketed aggregates: industry category, company size range, geographic region, maturity score bands, and use-case counts. No personal data, no granular data, no textual content, and no exact numerical values are contributed. Users who require control over benchmark participation should subscribe to Pro or above.

5.3 Pro Tier

Up to five hundred (500) AI queries per month, subject to per-query token limits. One (1) to two (2) users within a single company. Priority support and full benchmark visibility included. Pro users may opt out of detailed benchmark contribution via account settings. Upon opt-out, only basic bucketed statistics are contributed (country, company size category, maturity score bands, use-case counts). Industry-specific data is excluded upon opt-out.

5.4 Pro/Team Tier

Up to two thousand five hundred (2,500) AI queries per month (pooled across the team), subject to per-query token limits. Up to ten (10) users across up to three (3) sub-companies (subsidiaries, divisions, or business units). Full collaboration features including cross-division use-case roadmap management. Priority support and full benchmark visibility included. Same opt-out rights as Pro tier.

5.5 Enterprise Tier

Subject to a separate written agreement. No data is shared or contributed to benchmarks. AI query volumes, user limits, sub-company/tenant configurations, and service levels are defined per contract. Enterprise tier includes the option for on-premise, self-hosted deployment with on-premise AI processing (see Section 5.6).

5.6 On-Premise Deployment Option

Vane Loop is available for on-premise, self-hosted deployment under the Enterprise tier. On-premise deployment supports local AI processing, enabling full data sovereignty with no data leaving the Customer's infrastructure. On-premise pricing and configuration are subject to individual agreement with Vane Loop sales (sales@vaneloop.com). Customers who disagree with the cloud-based data processing terms described in these Terms, our Privacy Policy, or our Cookie Policy may contact sales to discuss on-premise alternatives.

6. Fees, Payment, and Billing

Paid tiers are billed monthly or annually as selected at subscription. Current pricing is at vaneloop.com/pricing. All fees are quoted in U.S. dollars, exclusive of applicable taxes. Applicable taxes—including value-added tax (VAT) for EU customers and sales tax for U.S. customers—will be calculated and added at checkout as required by law. Business customers in the EU with a valid VAT identification number may qualify for the reverse charge mechanism, in which case VAT is self-assessed by the Customer.

Payments are due in advance and are non-refundable except as required by applicable law. Pricing changes require thirty (30) days' notice. Continued use after a price change constitutes acceptance. Non-payment triggers a fifteen (15) day grace period, after which the account reverts to Freemium functionality.

7. AI Query Limits and Token Management

AI query limits and per-query token limits are set by Vane Loop and published at vaneloop.com/pricing. Token limits are designed to balance service quality with sustainable economics and may be adjusted by Vane Loop with thirty (30) days' prior notice to reflect changes in underlying AI infrastructure costs. Unused queries do not roll over between billing periods. The Company continuously monitors and optimizes AI resource allocation to deliver maximum value within each tier's pricing.

8. Data Sharing, Benchmarking, and Analytics

The Vane Loop Benchmark Index provides anonymized industry benchmarks derived from aggregated user data. All contributed data is anonymized through k-anonymity processing and statistical bucketing. The following data is never contributed or shared under any tier: personal data or personally identifiable information; free-text content, prompts, or AI query content; exact numerical values or granular parameters; individual company names or identifiers; and proprietary documents or files.

Freemium and Starter: Contribute bucketed aggregates only (broad industry category, company size range, country, maturity score bands, use-case counts). No opt-out; participation is a condition of these tiers.

Pro and Pro/Team: Contribute detailed benchmarks by default. Opt-out available via account settings, reducing contribution to basic bucketed aggregates as described above.

Enterprise: Excluded from all benchmark contribution and data sharing.

9. Intellectual Property Rights

The Service is the exclusive property of Vane Loop Research Inc. You retain all rights to your data ("Customer Content"). By uploading Customer Content, you grant Vane Loop a non-exclusive, worldwide, royalty-free license to process, store, and analyze it solely for providing the Service and generating anonymized benchmarks as described in Section 8.

10. AI-Powered Features: Limitations and Compliance

AI outputs may contain inaccuracies. You are solely responsible for evaluating and acting upon any outputs. You shall not present AI-generated outputs as certified professional advice to boards, regulators, auditors, or investors without independent professional verification (see Acceptable Use Policy).

EU AI Act Compliance: Vane Loop classifies its AI features as limited-risk AI under the EU AI Act's risk-based framework. The Service does not engage in prohibited AI practices (Art. 5), does not perform biometric identification, social scoring, emotion recognition, or manipulation of users. AI features are deployed as decision-support tools and do not make autonomous decisions with legal or similarly significant effects on individuals. Vane Loop complies with applicable transparency obligations under Article 50 by disclosing AI interaction in these Terms, in the Privacy Policy, and in the product user interface. Vane Loop maintains AI literacy measures for its personnel as required by Article 4.

Liability Limitation for AI Outputs: To the maximum extent permitted by law, Vane Loop's liability for any loss arising from reliance on AI-generated outputs is limited to the fees paid by you in the three (3) months preceding the claim. AI outputs are informational tools, not professional opinions, and users bear full responsibility for business decisions made on the basis of AI outputs.

11. Data Protection and Regional Hosting

Vane Loop complies with applicable data protection laws including the GDPR, CCPA/CPRA, Delaware DPDPA, and other U.S. state and international privacy frameworks. Regional data processing is handled through authorized regional resellers and hosting partners. Current sub-processors: vaneloop.com/legal/sub-processors. 12. Data Portability and Export

You may export your data at any time via the built-in Excel export functionality in the Service. Upon termination, data is retained for thirty (30) days for export. After this period, personal data is permanently deleted. No switching charges apply, in compliance with the EU Data Act (Regulation (EU) 2023/2854). Data is provided in structured, commonly used, machine-readable formats (XLSX, CSV).

13. Acceptable Use

Use of the Service is subject to our Acceptable Use Policy at vaneloop.com/legal/acceptable-use. Violations constitute a breach of these Terms.

14. Service Levels

Pro, Pro/Team, and Enterprise subscribers are entitled to service-level commitments per our SLA at vaneloop.com/legal/sla. Freemium and Starter are best-effort without uptime guarantees.

15. Warranties and Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, VANE LOOP DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. THIS DISCLAIMER APPLIES TO THE FULLEST EXTENT PERMITTED UNDER THE LAWS OF THE STATE OF DELAWARE AND APPLICABLE INTERNATIONAL LAW. AS A B2B SERVICE, STATUTORY CONSUMER WARRANTY PROTECTIONS DO NOT APPLY.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VANE LOOP'S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF (A) AMOUNTS PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (USD $100). IN NO EVENT SHALL VANE LOOP BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. THIS LIMITATION APPLIES TO ALL CLAIMS, INCLUDING THOSE ARISING FROM AI-GENERATED OUTPUTS, SERVICE INTERRUPTIONS, DATA LOSS, AND BENCHMARK INACCURACIES.

17. Indemnification

You agree to indemnify Vane Loop from claims arising from: (a) your use of the Service; (b) violation of these Terms or any policy; (c) violation of third-party rights; (d) your Customer Content; or (e) your presentation of AI outputs as professional advice without independent verification.

18. Term and Termination

These Terms are effective upon first access and remain until terminated. You may terminate at any time. We may suspend or terminate for breach, non-payment, or legal requirement. Data retention and export per Section 12.

19. Governing Law and Dispute Resolution

Governed by the laws of the State of Delaware. Disputes subject to good-faith negotiation (30 days), then binding AAA arbitration in Wilmington, Delaware. Either party may seek injunctive relief.

20. Modifications

We may modify these Terms with thirty (30) days' notice. Continued use constitutes acceptance.

21. Miscellaneous

Entire Agreement. These Terms, Privacy Policy, Cookie Policy, AUP, SLA (where applicable), DPA (where applicable), and any Enterprise agreement constitute the entire agreement.

Severability. Unenforceable provisions do not affect remaining provisions.

Waiver. Non-enforcement is not a waiver.

Assignment. You may not assign without consent. Vane Loop may assign freely.

Force Majeure. Not liable for delays beyond reasonable control.
